TERMS OF SERVICE

These Terms of Service govern your access to and use of Omnai Gateway, a product of Omnai Marketing Ltd. By creating an account or using the Service, you agree to be bound by these Terms. Please read them carefully.
1. About Us
Omnai Gateway is operated by Omnai Marketing Ltd, a company registered in England and Wales. Our registered address is 24 Lawrence Road, TW10 7LR. You can contact us at enquiries@omnai-marketing.co.uk.
2. The Service
Omnai Gateway is a SaaS platform that connects to your Shopify store and optimises your product catalogue for AI search visibility and agent discoverability. The Service includes product auditing, AI-generated content optimisation, structured data generation, and Shopify synchronisation features.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using the Service you confirm that you meet these requirements.
4. Account Registration
You must create an account to use Omnai Gateway. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at enquiries@omnai-marketing.co.uk if you suspect any unauthorised use of your account.
5. Shopify Store Connection
To use the Service you must connect your Shopify store by granting Omnai Gateway access via Shopify OAuth. By connecting your store you authorise us to read and write product data, including titles, descriptions, and metafields, on your behalf. You retain full ownership of all data in your Shopify store at all times.
Important: When product changes are applied as Shopify drafts, the affected products may be taken offline temporarily until you set them back to Active status in your Shopify admin. You are responsible for reviewing and publishing drafts promptly. Omnai Marketing Ltd accepts no liability for revenue loss or business disruption arising from products being in draft status.
6. AI-Generated Content
The Service uses artificial intelligence to generate optimised product titles, descriptions, and structured data. You acknowledge that:
- AI-generated content is provided as a suggestion. You are responsible for reviewing all content before applying it to your live store.
- Omnai Marketing Ltd does not guarantee that AI-generated content is accurate, complete, or suitable for your specific products or market.
- You are solely responsible for ensuring that all product content on your store complies with applicable laws, regulations, and Shopify’s terms of service.
- We recommend using Draft mode to review all AI-generated changes before they go live on your storefront.
7. Data Protection and Backups
Before writing any changes to your Shopify store, Omnai Gateway stores a snapshot of your original product data. You can restore any product to its original state at any time using the Restore Original function. However, you are responsible for maintaining your own backups of your Shopify store data. Omnai Marketing Ltd accepts no liability for data loss arising from your use of the Service.
8. Subscription Plans and Billing
Omnai Gateway is offered on the following plans:
- One-off Audit: £150 one-time payment. Access for 30 days. Auto-expires with no renewal.
- Single Store: £49 per month. Minimum 3-month commitment calculated from your subscription start date. After 3 months, cancel anytime.
- Multi-store: £99 per month. Minimum 3-month commitment. Up to 3 Shopify stores.
- Agency: £250 per month. Minimum 3-month commitment. Unlimited stores.
All prices are exclusive of VAT where applicable. Payments are processed by Stripe. Monthly subscriptions renew automatically on your billing date each month until cancelled. After the minimum commitment period you may cancel at any time from Settings > Billing. On cancellation your access continues until the end of your current billing month.
9. Free Trial
A 7-day free trial is available on the Single Store plan. No payment details are required during the trial. Trial accounts are limited to 15 products and 20 optimisations. At the end of the trial period you will be prompted to subscribe to continue using the Service. If you do not subscribe, your store connection will be disconnected automatically.
10. Usage Limits
Each plan includes usage limits for product syncs and monthly AI optimisations as displayed in your account dashboard. Usage limits reset on your individual subscription renewal date each month. If you exceed your plan limits you will be notified and prompted to upgrade.
11. Refunds
Due to the nature of AI-generated digital services, we do not offer refunds on completed optimisations or on subscription payments already processed. If you believe you have been charged in error please contact us at enquiries@omnai-marketing.co.uk within 14 days of the charge and we will investigate.
12. Intellectual Property
You retain ownership of all product data you bring to the Service. Omnai Marketing Ltd retains ownership of the Omnai Gateway platform, software, scoring framework, and all proprietary methodologies. AI-generated content produced by the Service for your products is owned by you upon generation.
13. Limitation of Liability
To the fullest extent permitted by law, Omnai Marketing Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, arising from your use of the Service. Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total fees you paid to us in the 3 months preceding the claim.
14. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will meet your specific requirements or improve your search visibility or sales performance.
15. Termination
We reserve the right to suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or use the Service in a way that causes harm to other users or to Omnai Marketing Ltd. On termination of your account for any reason, your Shopify store connection will be revoked and your access to the Service will end.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in your account dashboard. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
